Terms and Conditions

Contest start date: November 15, 2008. End date: January 31, 2009.

Prizes:

Grand Prize*: 50 winners to be selected by February 12, 2009.

Substitution for any prize may be necessary due to unavailability, in which case a comparable prize of equal or greater value will be awarded. Oakley reserves the right to change these Official Rules, at any time, with or without prior notice.

Eligibility

The Oakley Factory Co-Pilot Competition is open to all individuals in the United States. Contestants must be at least 18 years old. Employees and immediate families of employees of Oakley and its affiliated companies and employees of competing eyewear companies are not eligible.

To Enter

To enter you must fill out the entry form and upload video and/or pictures to the competition website(the “Uploaded Content”) by completing the following:
•    Visit www.oakleypilots.com
•    If you are already a registered member of the Loop’d network you may use your login information to login to the competition (“Tell Your Story”) upload page. If you are not a member of the Loop’d network you will be required to register prior to the submission of an entry.
•    All entries (video, pictures, questions) will be reviewed prior to release to the contest by a site representative.
•    Videos should be no longer than 5 minutes long and must be submitted in one of the following formats: .wmv, .mpg, .asx, .mov, .mpeg, .avi, .mp4. All video content/quality must be clear and decipherable. Any videos containing nudity, foul language, graphic or offensive materials will be rejected.
•    You may upload up to 20 different pictures. Pictures must be submitted in one of the following formats: .jpg, .gif, .jpeg, .tiff, .bmp, .png. Any picture containing nudity, graphic or offensive materials will be rejected.

In the event of a dispute over your identity, the Uploaded Content will be deemed submitted by the holder of the e-mail account. Oakley is not responsible for technical failures in entry transmission, or lost, late, misdirected, damaged, or incomplete entries. Oakley is not responsible for any damage to your computer occasioned by participation in the Competition. Oakley reserves the right, at its sole discretion to cancel the Competition if it becomes technically corrupted and select winners from all eligible entries received before cancellation.

Oakley reserves the right to remove any Uploaded Content which, in its sole discretion, is deemed to be inappropriate, offensive, or in violation of these Competition rules. Oakley also reserves the right, in its sole discretion to disqualify you in the event you are deemed to have tampered with the entry process or voting process, violated these Competition rules, or have acted in an unsportsmanlike way or disruptive manner with the intent to threaten, harass, abuse, or annoy another person in connection with the Competition.

Entry Conditions

As a condition of entry into this contest and by uploading content to the competition site, you represent and warrant the following regarding your Uploaded Content: (i) the Uploaded Content is original and legally created; (ii) the Uploaded Content does not infringe on intellectual property, privacy or publicity rights or any other legal or moral rights of a third party; (iii) you own all rights to the Uploaded Content, including but not limited to, all copyrights related to the Uploaded Content; (iv) the Uploaded Content has not been entered in or won a previous contest or award; and (v) the Uploaded Content has not been previously published or distributed by the media. You further represent and warrant that you have obtained the express permission from each person whose name, image, likeness, and/or voice may appear in the Uploaded Content to use such person’s name, image likeness, and/or voice, and that, upon Oakley’s request; you are permitted to make copies of the Uploaded Content. If the Uploaded Content contains the name, image, likeness, and/or voice of a minor, such consent must include the written contest of said minor’s parent or legal guardian.

By uploading the Uploaded Content, you irrevocably grant Oakley and its affiliates, legal representatives, assigns, agents and licensees, the unconditional and perpetual right and permission to reproduce, broadcast, post, publish, transmit, display, publicly perform, encode, store, copy, adapt, exhibit and/or otherwise use or reuse (without limitation as to when or to the number of times used), the Uploaded Content, as submitted or as edited/modified in any way by Oakley in its sole discretion, as well as to use your name, likeness, photograph, and/or statements regarding your participation in the Competition in any and all media without limitation as to time or territory, and without additional compensation or approval from you or any other party. You hereby waive intellectual property rights, privacy/publicity rights or other legal or moral rights that might preclude Oakley use of the Uploaded Content, and agree not to assert any claim against Oakley for the use of the Uploaded Content or your name, likeness and/or voice. You agree to indemnify and hold Oakley, its agencies and their respective affiliates, officers, directors, agents, co-branders or other partners, including, but not limited to, SponsorHouse, Inc., and any of their employees (the “Oakley Indemnitees”), harmless from any and all claims, damages, expenses, costs (including reasonable attorneys’ fees) and liabilities (including settlements), brought or asserted by any third party against any of the Oakley Indemnitees due to or arising out of the Uploaded Content, or your conduct in creating the Uploaded Content or otherwise in connection with the Competition, including but not limited to claims for trademark infringement, copyright infringement, violation of an individual’s right of publicity or right of privacy; or defamation. You further agree to release the Oakley Indemnitees from any and all claims that any advertising subsequently produced, presented, and/or prepared by or on behalf of Oakley infringes your rights with regard to any elements, characters or ideas contained in any Uploaded Content.

Selection of Competition Winner

You will be judged both on your answers to the required questions and your uploaded video and/or pictures. The panel of judges is looking for creativity and proof that you are one of the top 50 Oakley fans! The Competition will be open for entry from November 15, 2008 – January 31, 2009, 11:59pm PST. At the end of that time the judging panel will review every entry and select 50 winners. The winners of the Competition will be posted on this website on February 12, 2009 and individuals will also be contacted directly by an Oakley representative thereafter. The Grand Prize includes one full day of Oakley activities (tours, demonstrations, etc.) at Oakley Headquarters in Foothill Ranch, CA and one day of activities at a separate location, airfare to and from Orange Country, CA, three nights paid at a local hotel, most meals and transportation. The activities will take place on March 20-21 and hotel accommodations will be provided for March 19th, 20th, and 21st. Estimated value for the Grand Prize is approximately $2,000(USD). Only the winner will be eligible to participate in the Oakley Boot camp and prizes are non-transferable.

Any prize or prize notification returned to Oakley as undeliverable will result in the awarding of that prize to an alternate winner. Except as required by law, Oakley will not share entrant information with any third parties. Oakley may contact you in the future with offers we feel may be of interest and by entering the Competition, you expressly consent to receiving such communications. The Competition is governed by laws of United States. All taxes are the responsibility of the winner and the winner agrees to supply Oakley with his/her social security number prior to being awarded a prize. Prizes are non-transferable or assignable, no cash will be awarded. Winners of travel prizes must possess required travel documents (e.g. valid photo I.D.) and will be required to sign and return a liability release within 10-14 days of notification or prize will be awarded to an alternate. Oakley reserves the right, in its sole discretion, to conduct background checks on the winners to ensure that the use of any such person in advertising campaigns or publicity will not bring Oakley or any of the Competition participants into scandal, ridicule, contempt, public disrepute, or reflect unfavorably on the Competition and Oakley.

Travel Arrangements

An assigned Oakley representative will contact you to make travel arrangements utilizing Oakley’s travel department. As we understand, travel arrangements will vary by individual (e.g. duration, number of guests, timing). Airfare will be determined based on arriving March 19th and departing March 21st or 22nd. Airfare will only be covered for the winner. Costs above acceptable tolerance will be the responsibility of the individual. Alternate airports such as Los Angeles International Airport (LAX) will be considered. Transportation to and from the airport will be covered by Oakley for arrivals on March 19th or 20th and departures on March 21st and 22nd only.
